By law, articles of correction can be used to correct an incorrect statement only if the correction does not materially alter a substantive provision or to correct a document that was defectively executed, attested, verified or acknowledged. Most of the information required to be filed with the Commission is considered to be substantive, and most corrections are considered to be material alterations – therefore, Articles of Correction are rarely accepted. This determination is made on a case-by-case basis. If Commission staff determines that your articles of correction materially alter a substantive provision, they will be rejected Articles of Correction Indicate the exact corporation name. Indicate the type of document being corrected. Specify the date that the document being corrected was originally filed with the Arizona Corporation Commission. Attach as an Exhibit a copy of the original document that was delivered to the Arizona Corporation Commission, or describe the document. Provide a brief description of the incorrect statement and the correction you want to make, or the manner in which the executed document was defective. Fees Deliver the completed Articles of Correction with one exact copy and the $25.00 (U.S) filing fee with check made payable to the Arizona Corporation Commission. Expedited service is available for an additional $35.00 fee. Effective date Articles of Correction are effective on the effective date of the document they correct except as to persons who rely on the incorrect statement or other defect and who are adversely affected by the correction. As to those persons, Articles of Correction are effective as provided in section A.R.S. § 10-123.
