(Domesticated Corporation)
NOTE: This is a specimen format domesticated articles of incorporation. You must draft
your own articles on plain bond paper to be submitted in duplicate original (Each
document must have an original signature).
ALSO: A signed statement of the registered agent's consent (executed in duplicate)
must be attached to your articles.

I/WE, the undersigned natural person(s) of the age of eighteen years or more acting as
domesticator(s) of a foreign corporation existing under the BUSINESS CORPORATION
ACT (D.C. Code, 2001 edition, Title 29, Chapter 1), adopt the following Articles of
Domestication:
FIRST: The name of the corporation is (NAME OF CORPORATION).
SECOND: The period for which, upon domestication, the corporation is to exist, if not
perpetual is:
THIRD: State that upon domestication the corporation will be subject to the domestic
corporation provision of the Business Corporation Act, and, if desired, a brief statement
of the purpose or purposes for which it is to be domesticated which shall be a purpose or
purposes for which a domestic corporation may be incorporated under this Act and which
may consist of or include a statement that the corporation shall have limited power to
engage in and to do any lawful act concerning any or all lawful business for which
corporations may be incorporated under the Business Corporation Act.
FOURTH: State any provisions relating to the manner and basis of reclassifying the
shares of the corporation. If there are no such provisions, state the same.

FIFTH: State any desired provisions regarding the special treatment of shares held by
any shareholder or group of shareholders if the laws of the jurisdiction under which the
corporation was incorporated prior to its domestication permit the special treatment.
SIXTH: State that the filing of articles of domestication and the renunciation of the
original charter or articles of the corporation has been advised by the board of directors
and approved by the shareholders in accordance with the corporation's articles of
incorporation and all applicable laws.
SEVENTH: State the address (including street and number) if any, of its registered
office in the District of Columbia and the name of the registered agent of such office.
EIGHTH: State the number of directors constituting the initial board of directors for the
corporation (minimum of one), and the names and addresses (including street, number
and zip code) of the person or persons who are to serve as director(s) until the next
annual meeting of shareholders or until their successors are elected and shall qualify are:
