REVIEW PROCEDURES FOR SUPPLEMENT P
Supplement P may be used as an addendum to a certificate of limited partnership (C&S 401), restated
certificate of limited partnership (C&S 402), certificate of amendment (C&S 403), application for
registration to transact business in Michigan (C&S 411), and certificate of change (C&S 412) to reflect
information regarding general and limited partners.
The form is to be completed as follows:

LIMITED PARTNERSHIP NAME
Reflect the name of the limited partnership as it appears in the document
being supplemented.
If the document being supplemented includes a name change, this should be
the current name; not the new name.

Check the box identifying the document being supplemented.
BOXES FOR PARTNER INFORMATION
The following is required separately for each partner.
1) An indication that the partner is either a general or limited partner or both.

Any indication that a partner is other than simply a "general" or "limited"
partner, such as "managing general", "initial limited", etc. must be
defined.
2) The name of the partner.

3) The partner's business or residence address. The address should include
a street and number, city, state and zip code. A post office box address is
acceptable. The address need not be in Michigan.

4) Applicable to Michigan limited partnerships only
For limited partners only, the dollar amount of any cash contributions
already made. If contributions are in the form of property or services,
reflect the dollar amount of the property or services or the amount agreed
to by the partners as "other". If contributions are future contributions only,
this area may be blank.

If a limited partner has acquired a partnership interest as a result of a
transfer or assignment from another partner, the value of the contribution
should be reflected as "other".

5) Applicable to Michigan limited partnerships only.
For limited partners only, the dollar amount of any cash to be
contributed in the future and/or the dollar amount of any property or
services to be contributed in the future. If a dollar amount is not
available, a dollar amount agreed to by the partners is acceptable. If
partners have not committed to making future contributions, this area
may be blank.

6) Applicable to Michigan limited partnerships only.
Describe any contributions other than cash. This includes all property
and/or services contributed or to be contributed. This area may be
blank if contributions already made or identified as future contributions
are cash.

If a limited partner has acquired a partnership interest as a result of a
transfer or assignment from another partner, the description of the
contribution should include a statement to that effect and name the
partner from whom the interest was acquired. If less than the entire
interest was acquired, the percentage received should also be
reflected.
7) Applicable to Michigan limited partnerships only.
The time or events when future contributions will be made must be
reflected. This may be dates or events.

8) Applicable to Michigan limited partnerships only. See review
procedures for document to which this form is a supplement for
signature requirements.
9) The signature date should be reflected. The document is acceptable if
this date is missing.
