I, the undersigned representative of the above corporation which is subject to the provisions of Minnesota Statutes, Chapter

certify that the resolution set forth below was adopted either at a duly held meeting of the members, or of the board of
directors if members have no voting rights, or by unanimous written authorization pursuant to law.
It was resolved that the above corporation elects to be governed by the provisions of Minnesota Statues, Chapter 317A and
accepts all of the duties and responsibilities set forth by that chapter. It was further resolved that all corporate articles
currently in effect that are prohibited by or inconsistent with Minnesota Statutes 317A are eliminated by the resolution and
that new corporate articles that are required or allowed under Minnesota Statutes 317A are enacted as set forth below. (Note,
if your articles do not designate a registered office with a complete street address, you must amend your articles to do so in
the space below.)
It was finally resolved that the articles of the above corporation be amended to read as follows:
