In order to procure a Restated Certificate of Incorporation, a corporation shall file, in duplicate original, Restated Articles of Incorporation (Form No. 102) with the Office of the Secretary of State, Corporations Division, at the above address. When the Articles are properly completed, signed and submitted with the correct filing fee, a Restated Certificate of Incorporation, together with the file stamped duplicate original Restated Articles of Incorporation affixed thereto, shall be returned to the filer. 2. The restated articles must correctly set forth, without change, the corresponding provisions of the articles of incorporation, as theretofore amended, and will, upon filing or upon the effective date reflected in the restated articles, supersede the original articles of incorporation and all amendments thereto. 3. Upon filing the Restated Articles of Incorporation, the corporation must be in good standing and current with the filing of its annual reports and the maintenance of its registered agent and its registered office in this state. 4. As required by Section 7-1.1-59 of the General Laws, all fees and franchise taxes of the corporation must be paid upon filing the Restated Articles of Incorporation. 5. The Restated Articles of Incorporation must be accompanied by a filing fee of $70.00, and payment should be made payable to the Rhode Island Secretary of State. 6. The Restated Articles of Incorporation must be signed, in duplicate original, by the corporations president or vice president and secretary or assistant secretary. A signature must appear on each line even if the same person holds both offices. The signature of one officer only must be notarized. Facsimile signatures will not be accepted.
