If the foreign limited partnership is to use another name in Kentucky, indicate the name that is to be used in this state. The limited partnership’s name must contain the words "Limited" or the abbreviation “Ltd.” STATE OF FORMATION AND DATE OF FORMATION The state of formation is the state or country under whose law the limited partnership is formed and the date of formation is the date the limited partnership was formed. REGISTERED AGENT AND REGISTERED OFFICE ADDRESS The registered agent may be an individual resident of Kentucky, a Kentucky corporation, a Kentucky limited liability company, a foreign corporation or a foreign limited liability company authorized to transact business in Kentucky. The registered agent must be located at the registered office address. The registered office address must be a Kentucky address and contain a street address or other specific location (Highway, Rural Route, Building, etc.). A mailing address consisting of only a post office box is not sufficient for the registered office address. CONSENT OF REGISTERED AGENT The registered agent must give written consent to act as agent on behalf of the limited partnership. • If the registered agent is an individual resident of this state, the individual must sign the statement. • If registered agent is a corporation, an officer or the chairman of the board of directors must sign on behalf of the corporation. • If the registered agent is a limited liability company and management of the company is vested in one or more managers, a manager must sign on behalf of the limited liability company. If management of the company is vested in its members, a member must sign. • If the registered agent is a limited partnership, a general partner must sign on behalf of the limited partnership. The representative signing the statement of consent on behalf of the business entity acting as agent must designate the title or the capacity in which he or she signs. PRINCIPAL OFFICE ADDRESS If the laws of the state of formation of the limited partnership require it to maintain an office in that state, the limited partnership must list that office address. If such office is not required, the limited partnership must list a principal office address. GENERAL PARTNERS List the name and business address of each general partner. WHO MAY SIGN One general partner must sign the application for registration of foreign limited partnership. NUMBER OF COPIES Submit one originally signed and one exact or conformed copy. (May be a photocopy). One file-stamped copy will be returned to the limited partnership as evidence of the filing. A foreign limited partnership need not register with the county clerk’s office.
